All companies need to be registered, which guarantees that they meet certain requirements set by a government or other authority. This registration is an obligation for companies to comply with their legal and tax obligations for the payment of taxes to a country’s public funds.

How to register a company
In Cuba, the action of registering a company must be carried out in the Office of the Commercial Registry corresponding to the territory, this entity answers to the Ministry of Justice.
Documents required for the registration of a company in the Commercial Register
- Written request: Submitted by the authorized person of the corporation or individual entrepreneur, whose signature must be authenticated by a notary public or chamber of commerce.
- Appointment of representative: Deed or power of attorney naming and setting forth the powers of the natural person who will act as representative, together with a curriculum vitae.
- List of products and services provided
- Banking report issued in a previous period of less than three months by a bank of the National Banking System of the Republic of Cuba.
For those cases where it is possible and necessary to attach in addition:
- Summary of the entrepreneur’s or company’s history for the 5 years prior to registering. General information about the techniques, procedures and policies relied upon by the individual or entity should be provided.
- List of companies or individual entrepreneurs with whom it has conducted negotiations in the country during the three years prior to registration, with details of the operations carried out and their approval by the competent bodies.
- Incorporation documents proving that the company or entrepreneur is authorized to operate in the country of origin.

What does it mean to be registered in the Commercial Register?
Registration in the Registry gives the company legal status and is declaratory in nature, and therefore constitutes an obligation to comply with the contracts entered into during this process.
